DQ has acted as Isle of Man local counsel (with Shoosmiths LLP as instructing counsel) to OPG Power Ventures plc (“OPG”), an Isle of Man incorporated power generation group with operations in India.
DQ advised on the Isle of Man law aspects of OPG’s tender offer share buyback, which resulted in the repurchase and cancellation of 153,769,385 ordinary shares (representing 38.37% of the company’s issued share capital) at 6.27 pence per share, returning around £9.64 million to qualifying shareholders, as well as on the cancellation of OPG’s admission to trading on the AIM Market of the London Stock Exchange with effect from 24 December 2025.
Commenting on the transaction, Andrew Harding, Director and Head of Corporate at DQ, said:
“This transaction was a significant milestone for OPG, combining a substantial return of capital to shareholders with a strategic delisting from AIM. We were pleased to advise on the Isle of Man law aspects of the tender offer share buyback and delisting, and to work closely with Shoosmiths LLP and the wider advisory team to deliver a smooth and efficient outcome for the client.”
The DQ team was led by Andrew Harding (Director, Head of Corporate), with assistance from Matthew Wilkinson (Senior Associate, Corporate) and Greg Jones (Consultant, Head of Tax).
